1. Agreement to Terms
By accessing or using the Nexus Wallet application and our services (collectively, the "Services"), you agree to be bound by these Terms of Service ("Terms"). If you do not agree to these Terms, you may not access or use the Services. These Terms constitute a legally binding agreement between you and Nexus (PTY) Ltd. ("we," "us," or "our").
2. User Accounts
To access certain features of the Services, you may be required to register for an account. You agree to provide accurate, current, and complete information during the registration process and to update such information to keep it accurate, current, and complete. You are responsible for safeguarding your password and agree not to disclose your password to any third party. You agree to take sole responsibility for any activities or actions under your account, whether or not you have authorized such activities or actions. You must notify us immediately upon becoming aware of any breach of security or unauthorized use of your account.
3. Prohibited Activities
You agree not to engage in any of the following prohibited activities:
- Using the Services for any illegal purpose or in violation of any laws.
- Transmitting or uploading any content that is unlawful, defamatory, harassing, abusive, fraudulent, or otherwise objectionable.
- Attempting to interfere with the proper functioning of the Services.
- Using any robot, spider, or other automated means to access the Services.
- Violating or infringing upon the rights of any third party, including copyright, trademark, privacy, or other legal or proprietary rights.
4. Intellectual Property
The Services and all content, trademarks, logos, and other intellectual property are owned by or licensed to Nexus (PTY) Ltd. and are protected by copyright and other intellectual property laws. You may not use any content from the Services without our express written permission.
5. Disclaimer of Warranties
THE SERVICES ARE PROVIDED ON AN "AS IS" AND "AS AVAILABLE" BASIS. WE DISCLAIM ALL WARRANTIES OF ANY KIND, WHETHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO, THE IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT. WE MAKE NO WARRANTY THAT THE SERVICES WILL BE UNINTERRUPTED, SECURE, OR FREE OF ERRORS.
6. Limitation of Liability
TO THE FULLEST EXTENT PERMITTED BY APPLICABLE LAW, NEXUS (PTY) LTD. SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS OR REVENUES, WHETHER INCURRED DIRECTLY OR INDIRECTLY, OR ANY LOSS OF DATA, USE, GOOD-WILL, OR OTHER INTANGIBLE LOSSES, RESULTING FROM (A) YOUR USE OF OR INABILITY TO USE THE SERVICES; (B) ANY UNAUTHORIZED ACCESS TO OR USE OF OUR SERVERS AND/OR ANY PERSONAL INFORMATION STORED THEREIN; (C) ANY INTERRUPTION OR CESSATION OF TRANSMISSION TO OR FROM THE SERVICES; (D) ANY BUGS, VIRUSES, TROJAN HORSES, OR THE LIKE, WHICH MAY BE TRANSMITTED TO OR THROUGH OUR SERVICES BY ANY THIRD PARTY; (E) ANY ERRORS OR OMISSIONS IN ANY CONTENT OR FOR ANY LOSS OR DAMAGE OF ANY KIND INCURRED AS A RESULT OF YOUR USE OF ANY CONTENT POSTED, EMAILED, TRANSMITTED, OR OTHERWISE MADE AVAILABLE VIA THE SERVICES; AND/OR (F) THE DEFAMATORY, OFFENSIVE, OR ILLEGAL CONDUCT OF ANY THIRD PARTY.
7. Governing Law
These Terms shall be governed by and construed in accordance with the laws of the Republic of South Africa, without regard to its conflict of law provisions.
8. Dispute Resolution
Any dispute arising out of or relating to these Terms shall be resolved through good faith negotiations. If the parties are unable to resolve the dispute through negotiation, the dispute shall be submitted to binding arbitration in accordance with the rules of the Arbitration Foundation of Southern Africa (AFSA). The place of arbitration shall be Johannesburg, South Africa. The language of the arbitration shall be English.
9. Termination
We may terminate or suspend your account and access to the Services immediately, without prior notice or liability, for any reason whatsoever, including without limitation if you breach these Terms.
10. Changes to Terms
We reserve the right to modify or replace these Terms at any time. We will provide notice of any changes by posting the new Terms on the Site. Your continued use of the Services after any such changes constitutes your acceptance of the new Terms. It is your responsibility to review these Terms periodically for changes.
11. Severability
If any provision of these Terms is held to be invalid or unenforceable, such provision shall be struck and the remaining provisions shall be enforced.
12. Waiver
Our failure to enforce any right or provision of these Terms will not be considered a waiver of those rights.
13. Entire Agreement
These Terms constitute the entire agreement between you and Nexus (PTY) Ltd. relating to the Services and supersede all prior or contemporaneous communications and proposals, whether electronic, oral, or written, between you and us with respect to the Services.
